By accessing or using Aphelion's platform, APIs, SDKs, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Aphelion provides an execution layer for AI agents, including agent identity and memory management, unified tool access, and related infrastructure. The Service enables developers to build AI agents that can interact with third-party APIs and services.
3. Account Registration
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit malicious code or interfere with the Service
- Attempt to gain unauthorized access to systems or data
- Engage in fraudulent or deceptive practices
- Harass, abuse, or harm others
- Violate the terms of service of any connected third-party provider

5. Third-Party Integrations

You are responsible for ensuring that your use of third-party services through Aphelion complies with their terms and applicable laws.
6. Fees and Payment
Certain features of the Service require payment. By using paid features, you agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as required by law.
We may change our fees at any time with 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Centauri Systems, Inc. and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any content, code, or data you submit to the Service. You grant us a license to use this content solely to provide and improve the Service.
8. API Usage
Your use of our APIs is subject to rate limits and usage quotas as documented and enforced by the Service. Excessive use that degrades the Service for others may result in throttling or suspension.
You may not sublicense, resell, or redistribute API access without our prior written consent.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTAURI SYSTEMS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Centauri Systems, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another.
14. Termination
You may terminate your account at any time through the console or by contacting support. We may suspend or terminate your access if you violate these Terms or if we cease offering the Service.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, indemnification, and limitation of liability.
15. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
16. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of San Francisco County, California.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Centauri Systems, Inc. regarding the Service and supersede any prior agreements.
